Terms of Service

These Terms of Service (the "Terms") form a binding legal agreement between you ("User," "you") and RentSelect.ca, the operator of the RentSelect.ca platform ("RentSelect," "we," "us," "our"). By accessing, registering for, browsing, or using RentSelect.ca, any mobile application, API, or related service (collectively, the "Platform"), you agree to be bound by these Terms, our Privacy Policy, our Acceptable Use Policy, and all other policies referenced or incorporated herein.

If you do not agree to these Terms in full, you must not access or use the Platform.

To use the Platform, you must:

1. Be at least eighteen (18) years of age and the age of majority in your province or territory of residence;
2. Be a resident of Canada in a province or territory other than Quebec;
3. Have the legal capacity to enter into binding contracts;
4. Not be barred from receiving services under applicable Canadian law;
5. Not have previously been suspended or removed from the Platform;
6. Provide accurate, current, and complete information during registration and maintain that accuracy throughout your use of the Platform.

The Platform is not available to residents of Quebec at this time. By creating an account, you represent that you are not a resident of, and do not primarily reside in, the Province of Quebec.

RentSelect is an online technology platform and marketplace intermediary that facilitates connections between landlords, property managers, tenants, prospective tenants, and related users (collectively, "Users"). RentSelect is not:

1. A real estate agent, brokerage, or licensee under any provincial real estate or property management legislation;
2. A property management company;
3. A landlord, sub-landlord, lessor, or lessee;
4. A party to any lease, rental agreement, tenancy agreement, or other contract entered into between Users;
5. A guarantor of any User, listing, payment, transaction, or outcome;
6. A financial institution, payment processor, or lender;
7. A provider of legal, financial, tax, immigration, accounting, insurance, or real estate advice.

Any agreement, lease, payment, dispute, or relationship between Users is solely between those Users. RentSelect does not endorse, verify, or guarantee any User, listing, statement, image, document, communication, or representation made through the Platform.

You are responsible for:

1. Maintaining the confidentiality of your login credentials;
2. All activity occurring under your account, whether authorized or not;
3. Promptly notifying us of any unauthorized access or security breach;
4. Ensuring that any information you provide is true, accurate, complete, and updated.

We may, in our sole discretion, refuse to create an account, suspend an account, or terminate an account at any time, with or without notice, for any reason or no reason, including suspected violation of these Terms.

Subject to your compliance with these Terms, RentSelect grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for its intended personal or business rental-related purposes. This license terminates automatically upon any breach of these Terms.

You agree not to (and not to attempt to):

1. Use the Platform for any unlawful, fraudulent, deceptive, or harmful purpose;
2. Post false, misleading, duplicate, expired, or fraudulent listings;
3. Discriminate against any person or group on the basis of any ground protected by the Canadian Human Rights Act, applicable provincial human rights legislation, or any other applicable anti-discrimination law;
4. Harass, threaten, intimidate, stalk, defame, or abuse any User or third party;
5. Scrape, harvest, crawl, mirror, index, or extract data from the Platform by any automated or manual means without our prior written consent;
6. Use bots, scripts, spiders, or other automated tools to access the Platform;
7. Upload, transmit, or distribute any virus, malware, worm, ransomware, trojan, or other malicious code;
8. Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Platform;
9. Circumvent, disable, or interfere with security or access-control features;
10. Use the Platform to send unsolicited commercial electronic messages or spam in violation of Canada's Anti-Spam Legislation (CASL);
11. Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
12. Collect or store personal information about other Users without their express consent;
13. Use the Platform to advertise unrelated goods or services without authorization;
14. Resell, sublicense, rent, lease, or commercially exploit access to the Platform without our prior written agreement;
15. Engage in any activity that disrupts, damages, overloads, or impairs the Platform.

You retain ownership of content you submit to the Platform ("User Content"), including listings, images, descriptions, reviews, messages, and uploaded documents. However, by submitting User Content, you grant RentSelect a worldwide, non-exclusive, royalty-free, fully paid-up, sublicensable, transferable license to host, store, reproduce, modify, adapt, translate, publish, publicly display, publicly perform, distribute, and create derivative works of your User Content for the purposes of operating, providing, improving, marketing, and promoting the Platform.

You represent and warrant that:

1. You own or have the necessary rights to submit the User Content;
2. The User Content does not infringe any third-party intellectual property, privacy, publicity, or other rights;
3. The User Content complies with these Terms and all applicable laws.

We may, in our sole discretion and without notice, remove, edit, refuse, or restrict any User Content at any time.

The Platform — including all software, source code, design, interface, layout, graphics, logos, trademarks, trade names, text, audio, video, data compilations, algorithms, machine learning models, and underlying technology — is owned by RentSelect or its licensors and is protected by Canadian and international intellectual property laws. All rights not expressly granted to you are reserved.

"RentSelect," "RentSelect.ca," and associated logos and designs are trademarks of RentSelect.ca. You may not use these marks without our prior written permission.

Aggregate rental market statistics. The aggregate rental market statistics we publish at rentselect.ca/calgary/rental-market — median and average asking rents, and related figures computed from live listings — may be quoted or cited by anyone, including in news reporting, research, and commercial publications, provided the figures are attributed to RentSelect.ca with a link to the page they came from. This permission covers the published summary figures only. It does not extend to the underlying listings, to bulk or automated extraction from the Platform, or to redistributing the statistics as a competing data product.

RentSelect may, at any time and at its sole discretion:

1. Modify, suspend, discontinue, or remove any feature, function, or content of the Platform, with or without notice;
2. Introduce paid services, subscriptions, or premium features;
3. Limit access to certain Users or regions;
4. Perform scheduled or unscheduled maintenance;
5. Update these Terms (see Section 20).

We do not guarantee uninterrupted, error-free, secure, or timely access to the Platform.

The Platform is currently offered without charge during the Beta period. RentSelect reserves the right, at any time and at its sole discretion, to introduce fees, subscriptions, paid features, premium listings, lead-generation fees, processing fees, advertising services, screening services, API fees, or any other monetization model. Where any fee applies to you, the applicable terms, pricing, and consent mechanisms will be presented to you prior to charging.

You may terminate your account at any time by contacting support@rentselect.ca or by using the in-Platform deletion option, where available. We may suspend or terminate your account, with or without cause and with or without notice, at any time. Upon termination:

1. Your license to use the Platform ends immediately;
2. Provisions that by their nature should survive (including intellectual property, indemnification, limitation of liability, governing law, and dispute resolution) will survive;
3. Certain data may be retained as set out in our Data Retention & Deletion Policy.

You agree to indemnify, defend, and hold harmless RentSelect, its affiliates, directors, officers, employees, contractors, agents, licensors, and successors from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable legal fees on a full indemnity basis) arising from or related to:

1. Your use or misuse of the Platform;
2. Your User Content;
3. Your violation of these Terms or any applicable law;
4. Your violation of any third-party right, including privacy and intellectual property;
5. Any dispute between you and another User or third party;
6. Any rental, tenancy, or transaction arising from your use of the Platform.

Without limitation, RentSelect makes no warranty that:

1. The Platform will be uninterrupted, timely, secure, or error-free;
2. Information, content, listings, or matches will be accurate, complete, or reliable;
3. Defects will be corrected;
4. Any User or listing has been verified, screened, or is legitimate;
5. Any transaction between Users will be completed or successful;
6. The Platform will meet your requirements or expectations.

Some jurisdictions do not allow exclusion of certain warranties; in such cases, the disclaimers above apply to the maximum extent permitted by law.

These limitations apply notwithstanding the failure of any essential purpose of any limited remedy. Some jurisdictions do not allow certain limitations; in such cases, our liability is limited to the greatest extent permitted by law.

RentSelect will not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, fire, flood, earthquake, pandemic, epidemic, war, terrorism, civil unrest, government action, labour disputes, power failures, internet or telecommunications failures, cyberattacks, hosting or third-party service outages, or any other force majeure event.

These Terms and any dispute, claim, or matter arising out of or in connection with these Terms or the Platform (whether contractual or non-contractual) are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

You and RentSelect irrevocably submit to the exclusive jurisdiction of the courts located in Calgary, Alberta, Canada for the resolution of any dispute, claim, or proceeding arising out of or relating to these Terms or the Platform. You waive any objection to the laying of venue and any defence of inconvenient forum.

To the maximum extent permitted by applicable law, you and RentSelect agree that any dispute will be brought solely on an individual basis, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. Where waivable under applicable law, you waive any right to a trial by jury.

Before commencing any formal proceeding, you agree to first attempt to resolve the dispute informally by contacting support@rentselect.ca and providing a written description of the dispute and the relief sought. The parties will negotiate in good faith for at least thirty (30) days before initiating any court proceeding.

1. These Terms, together with all incorporated policies, constitute the entire agreement between you and RentSelect regarding the Platform and supersede all prior agreements.
2. If any provision is held unenforceable, the remaining provisions will continue in full force.
3. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without notice.
4. No waiver by RentSelect of any term will be deemed a further or continuing waiver.

We may update these Terms from time to time. Material changes will be posted on the Platform with an updated effective date. Continued use of the Platform after changes constitutes acceptance.

We may give notice to you by posting on the Platform, by email to the address associated with your account, or by any other reasonable method. Notices to RentSelect must be sent to support@rentselect.ca.

The parties have requested that these Terms and all related documents be drafted in English.
